01 Agreement & Terms

These Terms of Use ("Terms") describe the rules for using FollowMyDoctor.com, a division of United Valuecare, Inc. ("FollowMyDoctor", "we", "us", "our", or "Company") and its affiliates' online and mobile websites, platforms, services, and applications ("Online Services"), including the Medical AI platform, AI Scribe, HIPAA Dialer, and Patient Health Testing services.

Our Online Services are intended for a United States audience of licensed healthcare professionals and adult patients. If you access our Online Services from outside the U.S., you may encounter content about products or services that are not available or authorized in your country.

By using our Online Services, you agree to these Terms and our Privacy Policy. We may change these Terms at any time. Changes will be posted on the Online Services with a revised "Effective Date." Your continued use of the Online Services after any change constitutes your acceptance of the revised Terms.

02 Important Notice Regarding Platform Content

FollowMyDoctor is not a healthcare provider and does not practice medicine. We do not recommend any specific healthcare service, treatment, or medication for any individual patient. All AI-generated content is informational in nature and must be reviewed and verified by a qualified clinician before clinical application.

Content provided through our platform may describe uses of medications, therapies, or treatments that have not been approved by the Food and Drug Administration (FDA) for a particular indication. Such references are provided for informational purposes only.

Content available through our Patient Health Testing service is intended to provide general health awareness and should not be interpreted as a medical diagnosis. Patients should consult a qualified healthcare provider to interpret their results and determine appropriate treatment.

The Content should not be considered financial, legal, or tax advice.

You are responsible for protecting your account credentials (email address, password, and any authentication codes). If your credentials are compromised, you agree to change them immediately and contact us without delay.

03 Restrictions on Use of Online Services

You Will Not:

• Use our Online Services or Content in any way not expressly permitted by these Terms
• Copy, modify, scrape, harvest, or systematically extract data, Content, or materials from the Online Services
• Remove or alter any copyright, trademark, or other proprietary rights notices on the Online Services
• Misrepresent your identity, professional credentials, licensure status, or provide any false information
• Claim to be a licensed healthcare professional if you are not, or misuse clinician-only features
• Interfere with the security, integrity, or operation of our Online Services or servers
• Share your account credentials with any third party or use another user's credentials
• Use the platform to input, transmit, or store patient Protected Health Information (PHI) in violation of HIPAA
• Attempt to access AI models, APIs, or systems in ways not expressly authorised by these Terms
• Use automated tools, bots, scrapers, or scripts to access or extract data from the Online Services
• Engage in commercial exploitation of the Online Services or Content without our written authorisation
• Use the platform for any unlawful purpose or in violation of any applicable federal, state, or local law
• Attempt to reverse engineer any software, model, or system used to provide the Online Services
• Directly or indirectly authorise anyone else to take any action prohibited in this section

You Agree That:

• You will comply with all applicable laws and regulations, including HIPAA, the CCPA, and applicable state professional licensing laws
• You represent and warrant that you are at least 18 years of age, or the age of majority in your jurisdiction, to use the Online Services
• Use of the AI platform features designated for licensed clinicians constitutes your representation that you hold a valid, active clinical license in the United States
• We may take any measures we deem appropriate, in our sole discretion and as permitted by law, to enforce these Terms — including suspension or termination of your account

04 Posting Messages, Comments, or Content

You Will Not Post:

• Content that is obscene, defamatory, harassing, threatening, harmful, discriminatory, or otherwise objectionable
• Any patient-identifiable information (PHI) in publicly accessible areas of the platform
• Advertising, solicitations, or commercial communications not authorised by FollowMyDoctor
• Content that violates any applicable federal or state law, including patient privacy laws

You Agree That:

• Any content posted to the Online Services by third parties represents only the opinion of the poster and is no substitute for your own professional judgment
• You are solely responsible for the content of any submissions you make to the Online Services
• By submitting content, you grant FollowMyDoctor a non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable right to use, reproduce, modify, adapt, publish, and distribute such content for the purpose of operating and improving the platform
• You represent and warrant that you own or control all rights to content you post, that such content is accurate, and that its use does not violate these Terms or infringe any third party's rights
• You will indemnify FollowMyDoctor for all claims resulting from content you submit

05 License to Use Online Services & Content Ownership

Subject to these Terms, FollowMyDoctor grants you a personal, non-commercial, non-transferable, non-exclusive, revocable, limited license to access and use the Online Services and Content solely for the purpose of obtaining clinical decision support, health information, and related services offered by FollowMyDoctor.

All rights, title, and interest in and to the Online Services — including all Content, software, AI models, interfaces, designs, trademarks, and intellectual property — remain exclusively with FollowMyDoctor, United Valuecare, Inc., and our licensors and vendors. No ownership interest is transferred to you by these Terms, by your use of the Online Services, or by your subscription to any service.

We may terminate this license at any time for any reason. Upon termination, you must immediately stop using the Online Services and destroy any copies of Content in your possession or control.

06 AI Platform — Specific Terms

The following additional terms apply to your use of the FollowMyDoctor Medical AI platform, AI Scribe, HIPAA Dialer, and related AI-powered features:

Clinical Decision Support — Not Medical Advice

AI-generated outputs are provided as clinical decision support tools for licensed healthcare professionals. They are not medical diagnoses, treatment recommendations, or prescriptions. Every AI response must be reviewed, verified, and applied by a qualified clinician exercising independent professional judgment.

AI Accuracy Disclaimer

AI-generated content may contain errors, omissions, outdated information, or clinically inappropriate suggestions. FollowMyDoctor makes no warranty regarding the accuracy, completeness, currency, or clinical appropriateness of any AI-generated response. You are solely responsible for any clinical decision made in reliance on platform outputs.

No Patient Data Input

Unless you are using a feature specifically designed and authorised for PHI input (such as AI Scribe under a signed BAA), you agree not to enter any patient-identifiable information into the AI query interface. De-identification of patient information is your responsibility before submission.

AI Training

FollowMyDoctor will not use your clinical queries or AI Scribe recordings to train AI models without your explicit, separate, written consent. Queries are processed in encrypted, ephemeral memory and are not retained in identifiable form. See our Privacy Policy and HIPAA Notice for full details.

Third-Party AI Models

Our platform routes queries to third-party AI model providers (including but not limited to Anthropic, OpenAI, Google DeepMind, and others). Your use of these underlying models is subject to their respective terms of service. FollowMyDoctor routes queries under data processing agreements that prohibit use of your data for model training by those providers.

07 HIPAA & Clinical Data

Where FollowMyDoctor creates, receives, transmits, or maintains Protected Health Information (PHI) on your behalf — including through AI Scribe, the HIPAA Dialer call logs, or Patient Health Testing records — we do so as a HIPAA Business Associate under 45 CFR Parts 160 and 164.

Enterprise and hospital system users must execute a signed Business Associate Agreement (BAA) with United Valuecare, Inc. before transmitting any PHI through our platform. Use of PHI-enabled features without a signed BAA is strictly prohibited and constitutes a material breach of these Terms.

Your obligations under HIPAA as a Covered Entity or Business Associate remain your responsibility. FollowMyDoctor is not responsible for your compliance obligations under HIPAA. For full details of our HIPAA obligations and your patient rights, please read our HIPAA Notice of Privacy Practices.

08 Copyright Infringement — DMCA Notice

The Digital Millennium Copyright Act of 1998 (DMCA) provides recourse for copyright owners who believe that material on our Online Services infringes their rights under U.S. copyright law. If you believe in good faith that content on our Online Services infringes a copyright you own, you or your authorised agent may send us a notice requesting removal.

Your DMCA notice must include: (a) a physical or electronic signature of the authorised copyright owner or agent; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the allegedly infringing material and its location on our Online Services; (d) your name, address, telephone number, and email address; (e) a statement that you have a good-faith belief that use of the material is not authorised; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorised to act on behalf of the copyright owner.

09 Unsolicited Idea Submission Policy

It is our policy not to accept or consider unsolicited ideas, feature suggestions, or offers to sell intellectual property. Please do not submit such ideas to us or our employees.

If you choose to submit any unsolicited idea or material regardless of this policy, you agree that:

• We owe you no compensation of any kind
• There is no duty of confidentiality between us with respect to the submission
• Your submission automatically becomes our property and we may use it for any purpose
• We are free to develop and offer services or products competitive to those you suggest
• It is your responsibility to protect your own intellectual property before making any submission

10 Third-Party Links

While using our Online Services, you may encounter links to third-party websites, platforms, services, or applications ("Weblinks"). We provide these Weblinks for your convenience only. We do not endorse, control, or assume responsibility for the content, accuracy, privacy practices, or security of any third-party site.

Your use of any third-party site is governed by that site's own terms and privacy policy. We encourage you to review the terms and privacy policies of any third-party site you visit from our Online Services.

11 No Warranty

Some states do not allow the exclusion of implied warranties. If your state does not allow this limitation, the above exclusion may not apply to you in full.

12 Limitation of Liability

Some states do not allow certain limitations of liability. If your state restricts this limitation, one or more of the above may not apply to you.

13 Indemnification

You agree to defend, indemnify, and hold harmless FollowMyDoctor, United Valuecare, Inc., and their respective officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your breach of these Terms
• Your violation of any applicable law or regulation, including HIPAA
• Any copyright infringement, misappropriation, or misuse of intellectual property arising from your use of the Online Services
• Any clinical decision made in reliance on AI-generated platform outputs
• Any content you submit, post, or transmit through the Online Services
• Your unauthorised input of patient PHI into platform features not designed or authorised for such use

14 Export Controls

You may not use, export, re-export, import, sell, transfer, or otherwise make available our Online Services or Content unless permitted by these Terms and not prohibited by United States export control laws, including the Export Administration Regulations (EAR) and the Office of Foreign Assets Control (OFAC) sanctions lists.

By using our Online Services, you represent and warrant that neither you nor any ultimate beneficiary of our Online Services is located in a U.S. embargoed country or is named on any U.S. government denied-party or sanctions list. You agree not to use our Online Services for any purpose prohibited by U.S. law.

15 Governing Law & Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law provisions. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Fairfax County, Virginia, for any dispute involving FollowMyDoctor, United Valuecare, Inc., or their officers, directors, agents, and service providers.

Unless you are a resident of a state whose laws do not permit such limitations, any cause of action arising out of or related to the use of our Online Services must be initiated within one (1) year after the claim has arisen, after which such cause of action is permanently barred.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

16 Termination

We may cancel, suspend, or block your access to the Online Services at any time, with or without cause and with or without notice, including for violation of these Terms, HIPAA obligations, or applicable law.

Upon termination, your right to use the Online Services ceases immediately. Any provisions of these Terms that by their nature should survive termination — including ownership provisions, warranty disclaimers, indemnity, and limitations of liability — will survive.

17 Mobile Applications

The following additional terms apply to your use of any FollowMyDoctor mobile application (iOS or Android):

• License Grant — We grant you a limited, non-exclusive, revocable, non-transferable license to download and use the application on a device you own or control, solely for your personal, non-commercial clinical use, in accordance with these Terms and any applicable app store terms (Apple App Store or Google Play).
• App Store Terms — Your use of the application is also subject to the terms of the app store through which you download it. In the event of any conflict between these Terms and app store terms, these Terms govern to the extent permitted.
• Microphone Access — If you grant microphone permission to enable AI Scribe functionality, you represent that you have obtained all necessary consents from patients present during any recording, as required by applicable state recording consent laws.
• Automatic Updates — We may issue updates to the application automatically. By using the application, you consent to automatic updates where available.
• Device Security — You are responsible for maintaining the security of the device on which the application is installed, including any PHI that may be cached locally. We recommend enabling device encryption and screen lock.

18 Miscellaneous

Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. All remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, HIPAA Notice of Privacy Practices, and any supplemental terms or agreements, constitute the entire agreement between you and FollowMyDoctor with respect to the Online Services and supersede all prior written or oral agreements.

No Waiver

No waiver by FollowMyDoctor of any breach or default shall constitute a waiver of any subsequent breach or default. Any waiver must be in writing and signed by an authorised representative of FollowMyDoctor to be effective.

Assignment

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
